General terms and conditions
Version 1.1 - Date: May 1, 2026
1. Applicability
1.1 These general terms and conditions are specifically formulated for business services between companies and apply to all quotes, work, agreements, and services provided by Data 2 improve B.V. (Hereinafter referred to as "Data 2 improve").
1.2 Deviations from these terms are only valid when agreed upon in writing in advance. The client's purchasing conditions are expressly excluded.
1.3 By agreeing to a quote or project proposal, the client declares to have taken note of these terms.
2. Quotes and agreements
2.1 All quotes are non-binding, unless stated otherwise. Quotes are based on the information provided by the client at that time; the client is responsible for the accuracy and completeness of this information.
2.2 An agreement is established as soon as the client gives written (including via email) approval of a quote or order confirmation.
3. Execution of the services
3.1 Data 2 improve carries out work based on the jointly agreed scope, schedule, and desired outcomes. We strive to perform the agreed-upon tasks carefully and professionally.
3.2 Achieving the result is also dependent on the cooperation of the client, the quality of the source data, and the availability of systems. The client ensures timely access to all necessary information and systems.
3.3 Data 2 improve works with third-party software such as axxalon. Data 2 improve is not responsible for the operation, availability, or changes within these third-party systems.
4. Additional work
4.1 The work is based on the information that was available at the time of the offer. During execution, it may become apparent that data, connections, processes, or systems are more complex than initially visible (e.g., due to data quality issues or necessary customization).
4.2 When additional work is necessary, we will discuss this in advance with the client. Extra work will never be carried out without consultation and agreement.
5. Payment
5.1 Invoices must be paid within the payment term specified on the invoice. If no term is specified, a payment term of 14 days after the invoice date applies.
5.2 When the client has questions or objections regarding an invoice, the parties will consult about this. An objection to an invoice does not automatically entitle the client to suspend payment for work that has already been performed.
5.3 If payment is not received, Data 2 improve reserves the right to charge statutory commercial interest and collection costs in accordance with the legal regulations and to temporarily suspend the services.
6. Liability
6.1 Data 2 improve is solely liable for direct damage that is the direct result of demonstrable shortcomings in the execution. Any liability is limited to a maximum of the amount charged for the relevant assignment in the six months preceding the damage incident.
6.2 Data 2 improve is never liable for indirect damage (such as loss of revenue, loss of production, or missed savings).
6.3 Data 2 improve is not liable for damages arising from:
Incorrect or incomplete source information from the client.
